Non-Disclosure and Non- Circumvention agreement

This Agreement, entered into this month of ________ this_____ day of 2005, by (your name) ______________________  and associations and referred to as disclosee(s),.

Eagle Entertainment Group AKA HollywoodFunding.com (hereinafter called ("Owner/Discloser"). Whereas Discloser is providing confidential information pertaining to the introduction of investors, brokers, lending institutions o for funding the development and or productions and or distribution for you and or your associates concepts, entertainment, events, motion picture(s), screenplay(s) TV shows, Music related projects, Animations, Internet web sites, in which you or your company may in anyway profit from on current and or new products as a possible interest by the parties mentioned or yet to be mentioned through introductions.  It is therefore necessary and desirable that the disclosee keep all information mailed, E mailed, faxed or in telephone conversation and or in direct conversation to him/her confidential.
Disclosee(s) understands that the confidentiality of financiers is critical to both the financer and the disclosee.  Discloser agrees to make this confidential information available to Disclosee on the following terms:
1. Disclosee agrees not to use this confidential information except for purposes specified in this agreement or an adjoining agreement with Discloser and to take reasonable steps to prevent disclosures to third parties. Unless otherwise agreed upon in writing.
2. If for any reason there is not a solid interested in the parties Disclosed, Disclosee will return all written information promptly and not contact the Disclosed for any other business unless in writing from Discloser. 
3. Any use of Disclosed, beyond the scope of this agreement shall be an unauthorized use and constitute a violation of this agreement, and shall be enjoined in a court of equity upon application, in addition to recovery of damages and attorney's fees by Owner/Discloser.
4. Disclosee agrees not to disrupt communication with financers and discloser nor present ill will in anyway to financers regarding discloser.
5.Any notices to be given hereunder by either party to the other may be affected by personal delivery in writing, by mail, certified, or registered postage.
6.Proof of introduction may be in the form of witnesses at person to person introduction meetings, or by Discloser faxing, e mailing, recorded phone conversations or signed instrument with the name or names of Disclosed on said articles and dated. Secondary proof of introduction can be in the form of personal and business phone records and the dates that Discloser made contact over the disclosee's records of communications with Disclosed and if needed, obtainable by an act of the courts at the disclosee's expense.
7. Disclosee agrees to keep all matters, deals, contact etc., confidential and will not circumvent any negotiation or contacts generated through Eagle Entertainment Group, Hollywoodfunding.com or its associates.
8. Disclosed Time limitations. For a period of five years after introduction to the aforementioned, disclosee shall not, directly or indirectly through and or for other projects communication with disclosed nor carry on any business unless agreed upon or released in writing by Discloser.
Execution of this Agreement, confirms a request to meet or be in communications with Disclosed for business purposes in witness where of, the parties hereto have set their hands and seals on the day and year first above written. If any part of this agreement is deemed unacceptable in a court of law then the remain will stand.
